Only authorized Buyers are allowed to see the detailed information about the Providers of Community.Travel, request them a direct connection, send inquiries and perform booking of their travel services.
To become a BUYER of the Adalte Travel HUB, you must accept these terms and conditions (the “General Conditions”). If applicable, these conditions work in conjunction with the specific Economic Proposal and API Agreement (collectively, the “Addenda”) you may sign. Together, these documents constitute the complete and legally binding “BUYER Agreement”.
RECIPIENTS: TOUR OPERATORS, CONSOLIDATORS, BED BANKS, WHOLESALE OPERATORS, DESTINATION MANAGEMENT COMPANIES, ONLINE TRAVEL AGENCIES, RETAIL TRAVEL AGENCIES
GLOSSARY:
Affiliate Buyer (also referred to as Travel Buyer): A business entity authorized to purchase travel products through the Adalte Travel HUB under the "Affiliate" classification.
Affiliate Provider: Refers to Providers whose content is not subject to Adalte Quality Control. Operational standards are guidelines rather than requirements.
API Provider: A Provider that has an Application Programming Interface (API) connected with the Adalte technology.
Booking: The process of reserving a travel product through the Adalte Travel HUB.
Buyer: Any business entity or individual purchasing travel products through the Adalte Travel HUB.
Channel: A website, application, or API connection which allows one or more Buyers to access and purchase travel products.
CMS: Content Management System, the Adalte platform used by Providers to manage their products and bookings.
Consolidator: A Tour Operator that consolidates products from multiple Providers to offer an easier access to other B2B entities.
Data Entry: The process of inputting and managing product information, such as descriptions, prices, availability, and terms and conditions.
Destination Management Company (DMC): A Provider based in a specific destination that offers local services to incoming visitors.
Distribution Fee: Refers to the booking or service fee charged by a Technology Partner to Adalte or the Provider for the distribution of products to the BUYER.
Elite Buyer: A business entity authorized to purchase travel products through the Adalte Travel HUB under the "Elite" classification.
End User (also referred to as Client): An individual consumer purchasing travel products through the Adalte Travel HUB.
Inquiry: A request from a Buyer to contact a Provider for information or to quote a product not available online.
Marketing Partner: A company that cooperates with Adalte to distribute the products to specific targets of Buyers.
Marketplace: An online portal where Providers can list their products and Buyers can purchase them.
Other Provider: A Provider that is not a DMC, such as a tour operator or a cruise company.
Premium Provider: Refers to Provider whose content is subject to Adalte Quality Control.
Product: A travel service offered by a Provider, such as a tour package, activity, hotel, or transfer.
Provider: Any travel organization that offers travel products through the Adalte Travel HUB.
Quality Control: The verification process performed by Adalte on uploaded product contents and pricing to ensure data accuracy, completeness, and adherence to Adalte and Market standards.
Technology Partner: the entity providing the technical infrastructure or connection to the Buyer.
Tour Operator: A Provider that organizes and/or sells tour packages.
Travel Agency: A business that sells travel products to consumers.
Travel HUB: The Adalte platform that connects Providers and Buyers.
Voucher: A document issued by a Provider to a Buyer detailing the reserved services.
PREAMBLE:
- Adalte srl (hereinafter referred to as "Adalte") develops and maintains the Adalte Travel Platform content management system, a reservation and booking online system, which allows any Travel Organization to populate a dedicated database and distribute its travel services through the web and via API ("CMS").
- Any Travel Organization using a CMS ("PROVIDER") or connected to the CMS by API ("API PROVIDER"), is a Partner of Adalte and can optionally decide to sell Tour packages and other Travel services ("PRODUCTS") through the distribution HUB created and maintained by Adalte ("Travel HUB").
- Worldwide "BUYERS", individuals and entities authorized to access the Travel HUB, can purchase products, following the processes outlined in this Agreement.
- Adalte owns www.adalte.com, myadalte.com, community.travel and other portals developed to promote PROVIDERS, facilitate the digital distribution of PRODUCTS to BUYERS and allow a direct interaction between vendor and customer ("MARKETPLACES").
- Any website or application with a direct connection to Adalte technology—whether owned or leased by the BUYER—and all MARKETPLACES (collectively, 'CHANNELS') shall, unless otherwise agreed in writing, be connected individually to enable the publication of PRODUCTS on each specific channel.
- Some CHANNELS are operated in partnership with:
. "Technological Partners": Independent technology companies providing front-end or back-end applications to BUYERS. These partners may apply 'Distribution Fees' to PROVIDERS or Adalte for the technical facilitation of bookings and data connectivity;
. "Marketing Partners": marketing agencies, sales representatives, General Sales Agents (GSA);
. "Consolidators": BUYERS who aggregate PRODUCTS to facilitate access for other B2B entities and end-users.
- For the purposes of this Agreement, Buyers shall be categorized into the following distinct classes (hereinafter referred as "BUYER types"):
. "ELITE BUYER": Refers to high-tier B2B or B2C industrial distributors, including but not limited to Tour Operators, Travel Networks, Destination Management Companies (DMCs), Online Travel Agencies (OTAs), Global Wholesalers, and Consolidators. Elite status is granted at the sole discretion of Adalte, based on a comprehensive evaluation of the Buyer’s profile. Criteria include, but are not limited to: the Adalte classification of the inviting Provider, the operator’s market significance, the technical sophistication of their API connectivity, and historical booking performance throughout the cooperation.
. AFFILIATE BUYER (also referred to as "TRAVEL BUYER"): Refers to standard B2B and B2C distributors, including newly registered entities, independent Travel Agencies, and traditional retail travel entities. This classification applies to entities whose historical booking volume or technical integration does not currently qualify for ELITE BUYER designation.
. "CLIENTS": Registered end users (Enabled only in the MARKETPLACE Madeinitaly.Travel).
- If not differently agreed between the BUYER and the PROVIDER or between ADALTE and the PROVIDER, BUYER shall send a proposal of connection, which has to be accepted by the PROVIDER, for having access to the PROVIDER's PRODUCTS, prices and contact data or to perform bookings.
- Adalte classifies PROVIDERS based on the level of Quality Control applied to their PRODUCTS. For the purposes of this Agreement, the following definitions apply:
. PREMIUM PROVIDER: Refers to Providers whose PRODUCTS are managed via the Adalte CMS or a hybrid API solution. All PRODUCT static information (such as descriptions, itineraries, inclusions, hotels) and pricing for PRODUCTS managed via the CMS, are subject to Adalte Quality Control. Adalte performs a secondary verification of the data to ensure accuracy and provides full operational support. This status guarantees that Adalte is sufficiently informed to assist BUYERS with PRODUCT-related inquiries or issues.
. AFFILIATE PROVIDER: Refers to Providers whose PRODUCTS are not subject to Adalte Quality Control. This includes data imported via external aggregators (PROVIDERS without a direct contract with Adalte), or those with full API connectivity where Adalte cannot verify data integrity and is therefore unable to provide PRODUCT-level assistance or support for content and pricing errors.
- API PROVIDER (Hybrid or Full Connectivity):
. Hybrid Integration (Premium Status): To ensure maximum content integrity across all languages, static information is managed via the Adalte CMS, while search and booking functions are handled via the Provider's API. These entities are treated as PREMIUM PROVIDERS and are subject to Adalte Quality Control.
. Full Connectivity (Affiliate Status): Where search, booking, and all static content are handled exclusively via the Provider’s technology without a Quality Control agreement, the entity is classified as an AFFILIATE PROVIDER.
- Inside each MARKETPLACE Adalte may also divide the PROVIDERS into two groups, as described here:
. DMC PROVIDERS. Based in one or more destinations, they provide local services for incoming visitors. DMC shall have in-depth knowledge of the region and offer services such as transportation, event planning, accommodation, guided tours, and activities to worldwide BUYERS;
. OTHERS. All other PROVIDERS, such as Cruise companies, Tour Operators and Wholesalers. They normally buy large volumes of travel products (such as hotel rooms, airline tickets, or tour packages) from global and local suppliers and resells them to travel agents and/or even end users;
- The relation is always direct between BUYER and PROVIDER, including, for example, the payments for the PRODUCTS and the resolution of disputes raised between the parties.
2.2.1. buy PRODUCTS at the Net Rates defined by each PROVIDER;
2.2.2. pay the PRODUCTS by following the Payment instructions defined by the PROVIDER;
2.2.3. carefully read all PRODUCT and booking details and if available the "day by day" program, informing the retailer or the Travelers about all critical situations, including for example: supplement on site, services included and not included, meeting points, terms and conditions, cancellations policies and assistance on site;
2.2.4. (if needed) provide the travelers with the vouchers received or accessible through the CMS as the valid document for travelling or, if previously agreed with PROVIDER, generate your own travel documentation making sure that all information provided in the voucher made availbale by the Provider are correctly reported to the Travelers;
2.2.5. not unduly damage the PROVIDER's image and reputation and protect PROVIDER actions from unjustified attacks during interactions with travelers and possible retailers;
2.3. BUYER accepts to consider Adalte not responsible for all Data Entry and Booking Management operations, incorrectly performed or not performed on time, inside the CMS by Adalte when operating on behalf of any PROVIDER;
2.4. ELITE and AFFILIATE BUYERS agree that their Company name and/or Logo:
2.4.1. can be displayed, together with a description of its business, in the BUYERS list page and other pages of Adalte MARKETPLACES and CMS;
2.4.2. can be included by Adalte in marketing actions or communications exclusively organized to promote the Travel HUB.
2.5. AFFILIATE BUYERS agree that the Company profile information (including names, email addresses and telefones contacts):
2.5.1. can be used by PROVIDERS in commercial actions or communications finalized to promote the PROVIDERS.
2.6. BUYER is responsible for the credentials used for accessing the CMS and MARKETPLACE and is requested to immediately contact Adalte in case of any fraudulent use.
2.7. BUYER shall operate and manage the MARKETPLACE tools in strict compliance with all procedures, terms, and conditions set forth in this Agreement and the CMS in compliance with the General Conditions for the usage of the CMS.
2.8. BUYER accepts to use the CMS and the MARKETPLACE only for the travel business purposes expressed in this agreement and in compliance with national and international laws and the regulations of this Agreement.
2.9. BUYER accepts to use the CMS and the MARKETPLACE at his own risk.
2.10. BUYER acknowledges that all business relationships initiated with PROVIDERS, and the subsequent purchase of PRODUCTS, are conducted at the BUYER’s sole risk.
2.11. BUYER acknowledges that all the information inserted through the Inquiries, and eventually also chat, conference room and other tools for discussion included in the CMS and the MARKETPLACE cannot be previously checked or approved by Adalte.
2.12. BUYER has full responsibility for all services reserved and for all information provided about travellers during and after the reservation process, including for example the name of the passengers or the age of the children or food intolerances.
2.13. BUYER accepts to manage any complaints or inconvenience occurring to travelers, always favoring dialogue over contrast, as well as respecting the principles of common sense, maintaining constructive behavior and respecting national and international laws.
2.14. BUYER is responsible to provide Adalte with detailed information about each claim or issue which has been not satisfactory handled by a PROVIDER;
2.15. PROVIDER acknowledges that Adalte acts solely as the technology provider for the Travel HUB infrastructure. Adalte is not involved in the sale of PRODUCTS, provides booking support only upon request, and never acts as a commercial intermediary between the BUYER and the PROVIDER.
2.16. When inviting PROVIDERS and BUYERS to the Travel HUB, the BUYER shall ensure that all invitees are professional operators that are legally incorporated and compliant with all local regulatory requirements. PROVIDER invitees must be active suppliers of the BUYER.
2.17. BUYER commits to protecting Adalte's and the PROVIDER'S reputation and shall not engage in actions that unduly damage Adalte or the PROVIDER or allow for unjustified attacks during interactions with travelers or other retailers.
3. PROVIDERS:
3.1. BUYER acknowledges and agrees that upon registration, they shall only be entitled to access, view, or connect with PROVIDERS who have specifically authorized their Buyer Type (e.g., AFFILIATE BUYER or ELITE BUYER) or who have opted to operate with the BUYER. Adalte does not guarantee that all PROVIDERS within the Travel HUB will be visible or available for connection to every BUYER, as PROVIDERS maintain the right to define their own distribution criteria.
3.2. BUYER acknowledges that access to a PROVIDER’S PRODUCTS, pricing, and availability is subject to the PROVIDER’S formal acceptance of a connection proposal. This proposal must be initiated by the BUYER through the CMS or MARKETPLACE. If the BUYER operates multiple Channels, a separate connection request may be needed and approved for each individual Channel to ensure proper technical synchronization.
3.2. BUYER acknowledges that certain MARKETPLACES may be configured to grant immediate access to specific PROVIDER content without the need for an individual cooperation proposal. In such cases, the BUYER’s use of the platform constitutes acceptance of the connection.
3.5. BUYER is encouraged to sign a direct agreement with each PROVIDER.
4. TRAVEL PRODUCTS:
4.1. Travel services and PRODUCTS become visible on the BUYER’S Channel or searchable within the MARKETPLACE only after the PROVIDER has formally approved the connection request. Activation is subject to the technical configuration of each individual Channel.
4.2. For PREMIUM PROVIDERS, Adalte performs a secondary verification of product data (descriptions, itineraries, inclusions, and pricing) to ensure accuracy and completeness. While Adalte provides this operational support, PROVIDERS are ultimately responsible for the final accuracy of their data. BUYER shall immediately report any suspected inaccuracies or display errors to concierge@adalte.com.
4.4. BUYER acknowledges that PRODUCTS offered by AFFILIATE PROVIDERS are not subject to Adalte Quality Control or active monitoring. Adalte cannot verify the data integrity of these listings and is unable to provide operational assistance, content verification, or support regarding pricing and service errors for these PRODUCTS. All such matters must be handled directly with the PROVIDER.
4.5. The BUYER acknowledges that all PRODUCTS are exclusively offered at Net Rates within the Travel HUB, regardless of whether any direct agreement between the BUYER and the PROVIDER is based on commissionable rates.
4.6. While Adalte encourages PROVIDERS to treat 'Distribution Fees' as an internal distribution cost, the BUYER acknowledges that Adalte cannot compel PROVIDERS to absorb this third-party expense. Consequently, the BUYER acknowledges that the final Net Rate offered may be subject to a surcharge by the PROVIDER to cover the specific fee applied by the BUYER’s designated Technology Partner.
4.7. With the exception of 'Distribution Fees' as described in the previous clause, should there be a discrepancy between the Net Rates displayed in the Travel HUB and those established in a direct agreement between the BUYER and a PREMIUM PROVIDER, the BUYER is encouraged to contact Adalte to facilitate a resolution.
4.9. Unless otherwise restricted by a specific MARKETPLACE or PROVIDER, BUYERS may submit manual "Inquiries" for services not available for instant online booking. These are categorized as: FIT Inquiry (for individual travel), Group Inquiry (for leisure groups) and MICE Inquiry (for Meetings, Incentives, Conferences, and Events).
4.9. BUYERS must not alter the recipient, subject line, or unique tracking codes of emails exchanged with Adalte and PROVIDERS following an Inquiry generated via the CMS or MARKETPLACE.
4.10. Upon receiving a quotation for a FIT Inquiry, BUYER is encouraged to request the PROVIDER to upload the quoted service into their digital inventory.
5. BOOKING MANAGEMENT:
5.1. CMS allows PROVIDERS to add all information needed for allowing a smooth booking online experience to the end-user. BUYER is invited to carefully read the messages appearing during the booking procedure and check that all critical information is correctly stated inside the booking and in the travel documents.
5.2. BUYER is required to make sure that any modification to PRODUCTS already booked, including for example accommodation or itinerary changes, is communicated to the customer, as soon as known.
5.3. BUYER is required to make sure that any travel document provided to the travellers respects the information confirmed at the time of the order or after the amendments agreed with PROVIDER and include the contact information and the languages available for customer support on site.
5.5. Vouchers are released following the rules defined by the PROVIDER and often the full payment is requested for receiving the travel documents; PROVIDER can also operate in voucher-less mode for some PRODUCTS. In any case, BUYER is invited to inform the PROVIDER if the travel documents received are missing information or need to be substituted for any reason.
5.6. After sending an Inquiry, if the quotation for the requested PRODUCTS has been accepted, BUYER is allowed to request PROVIDER to create a new booking or add the quoted service to an existing booking.
5.7. BUYER is not permitted to make reservations for testing purposes without the consent of Adalte and/or PROVIDER.
6. PROPERTY AND ACCESS TO DATA:
6.1. Adalte is committed to the highest standards of data privacy. BUYER acknowledges they have read and fully understood the Adalte Privacy Policy, which details the technical and organizational measures implemented to protect personal data and other sensitive information managed within the CMS and the MARKETPLACES.
6.2. BUYER, every time accesses personal data of Travelers and contact data and logo of PROVIDERS, shall handle them only and exclusively in order to execute its work, and not with other aims, that could potentially harm PROVIDERS’ and/or Travelers’ and/or Adalte’ interests.
6.3. BUYER acknowledges that all information and contents related to the PRODUCTS are owned by the PROVIDERS.
6.4. BUYER acknowledges that the CMS and MARKETPLACES, the handbooks and all the pertaining documentation, the social media channels and material related to the Travel HUB provided by Adalte or its Marketing Partners are owned by Adalte.
6.5. BUYER's credentials and all the BUYER data available inside the CMS and MARKETPLACES are always a property of the BUYER, who is responsible for them.
6.6. BUYER authorizes Adalte to access its account, for viewing and modifying a setting or the content of a booking, every time PROVIDER or BUYER request the intervention of Adalte.
7. PAYMENTS OF THE PRODUCTS:
7.1. The total amount of all PRODUCTS booked inside a Booking is always directly due to the PROVIDERS supplying the PRODUCTS.
7.2. All information about the payment methods and policies of the PROVIDER are accessible via API and/or sent by email and available in the CMS and in the MARKETPLACES, for each single booking.
7.3. BUYER is invited to make sure to perform the payments always within the due date, for the total amount including all bank fees.
7.4. PROVIDER or Adalte on behalf of PROVIDER can send payment reminders to the BUYER, for requesting the payment of any amount due to PROVIDER.
8. MARKETPLACE FEES AND PAYMENT CONDITIONS FOR BUYERS:
8.1. Adalte provides the Travel HUB as a free resource for professional BUYERS who actively use the platform for reservations. However, due to the high costs associated with server maintenance, API connectivity, and database interrogation, accounts that remain inactive or are used exclusively for research and quoting without performing bookings may be subject to a maintenance fee or suspension.
8.2. Access to the MARKETPLACES and the Travel HUB remains entirely free of charge for all BUYERS classified as CLIENTS (registered end users in MadeinItaly.Travel).
8.3. For AFFILIATE BUYERS, the use of the platform is free provided they perform a minimum of 5 completed reservations within every 12-month period. If this threshold is not met, Adalte will contact the BUYER to determine if they wish to disable the account or maintain access to the database and services for an annual maintenance fee of €950.00.
8.4. For ELITE BUYERS, the minimum booking requirements and the annual maintenance fee necessary to maintain this status shall be defined in a specific Economic Proposal (Addendum).
8.5. The calculation of the minimum performance threshold is based on the total number of confirmed reservations recorded during the preceding 12-month period. This count includes all bookings with a past departure date, as well as any cancelled reservations where a penalty was applied. The first evaluation occurs exactly 12 months after the account activation date; thereafter, the threshold is monitored on a yearly basis to ensure ongoing compliance with the minimum activity requirements.
8.6. BUYERS who do not meet the minimum performance thresholds and do not wish to pay the maintenance fee may opt to have their account and API credentials disabled. In such cases, no fee will be charged, but access to PROVIDER data, rates, and quoting tools will be immediately suspended and subsequently terminated.
8.7. All invoices are due upon receipt unless otherwise agreed in writing. The amount indicated in any Adalte invoice is due in full, and all transaction or bank fees associated with the payment shall be borne exclusively by the BUYER.
8.9. BUYER has a period of 10 days to dispute the amount indicated in any Adalte invoice. If no dispute is raised within this timeframe, the invoice shall be deemed accepted and valid.
8.10. Adalte reserves the right to suspend the BUYER’S access to the CMS, MARKETPLACES, and all API connections in the event of a payment that is overdue by 30 days or more.
8.11. Any amount due and not charged to the BUYER for any reason can be billed by Adalte at any time after the original agreed invoicing date.
8.12. BUYER may request additional services, such as CMS and MARKETPLACE optional tools or custom integrations. The economic value and specific conditions for these optional services will be provided upon request and must be accepted electronically or in writing.
9. ADALTE LIABILITY LIMITATIONS
9.1. The General Conditions for using the CMS of Adalte describe the liability of Adalte regarding the use of any Adalte's CMS tools by the BUYER.
9.2. The liability of Adalte regarding the Travel HUB operations is only limited to allowing the correct execution of the operations among PROVIDERS and BUYER and the resolution of any technical error, which is under its direct control.
9.3. Adalte, except for what stated at point 6.1, is never responsible in front of PROVIDERS or BUYERS or other third parties involved for:
9.3.1. any loss of profit or business;
9.3.2. any information related to PRODUCTS, including descriptions, prices, conditions or any other information which have been incorrectly loaded by the PROVIDER or Adalte when operating on behalf of the PROVIDER inside the CMS;
9.3.3. any operation or action or information related to Bookings incorrectly managed by the PROVIDER or Adalte when operating on behalf of the PROVIDER inside the CMS;
9.3.4. any late or missed Data Entry or Booking input, even if communicated by PROVIDER or BUYER;
9.3.5. any information about the PRODUCTS or the PROVIDERS.
10. MODIFICATIONS TO THE PRESENT AGREEMENT:
10.1. Adalte is allowed to modify the present Agreement by providing an immediate and detailed notice to the BUYER.
10.2. Modifications can also be deemed to be immediately effective.
10.3. BUYER, if not objecting or agreeing on different conditions with Adalte, accepts the introduced changes under the principle of “tacit approval".
10.4. Any fee amendment, stated after the signature of this Agreement or its Annexes, will become effective at least after 6 months from the detailed notice sent by Adalte.
11. EFFECTIVENESS OF THE PRESENT AGREEMENT:
11.1. After the signature of the present BUYER Agreement, it becomes immediately effective from the moment the BUYER makes its first access to the CMS or the MARKETPLACE.
11.2. This Buyer Agreement will remain in effect unless the Buyer chooses to terminate it, or unless Adalte exercises its right to terminate.
11.3. In case Adalte notices any act, whether fraudulent or not, executed by the BUYER against the principles of the present Agreement, or illegal information or repeated inaccurate or misleading information communicated by the BUYER, is free to suspend, at any time and without the duty of notice, the credentials and the activity of the BUYER inside the Travel HUB and the Marketplace.
11.5. Adalte has the right to terminate this BUYER Agreement only in case a suspended BUYER does not cooperate to accomplish, within 30 days from the receipt, with the requirements or the indications communicated by Adalte.
11.6. If the present Agreement is suspended or terminated and no contract is in place between parties, the PROVIDERS must guarantee the PRODUCTS already confirmed by the suspended or former BUYER and at the same time the suspended or former BUYER must perform all related payments on time.
11.7. If the present Agreement is terminated, BUYER remains chargeable for any fee due to Adalte and not yet invoiced.
